ARTICLE II Board of Directors

Section 1. Composition The Board of Directors (the "Board") shall consist of the Officers and 12 additional members ("Directors"), nine of whom must be Art Directors or Designers and remainder may be Associates or Allied members. The immediate past President shall be non-voting, ex-officio member of the Board.

Section 2. Election Directors who are not Officers shall be elected at the annual membership meeting for a three-year term, with at least four Directors being elected each year. Each term of office commences on the first day of the next fiscal year and ends on the last day of the third fiscal year following election. The President shall (with suggestions from the Board) appoint any member to any vacancy on the Board until the next annual membership meeting, when a member shall be elected to complete the remaining term.

Section 3. Meetings
     A. The Board shall have no less than ten meetings per year at the time and place called by the President and at such other times (1) as the President shall determine, upon at least two days notice to each Director, or (2) as requested by eight Directors in writing.
     B. A quorum at any meeting of the Board shall consist of nine Directors.
     C. Action by the Board at any meeting requires a majority vote of the Directors present, unless otherwise specified by these Bylaws. Each Director is entitled to one vote.
     D. The President will conduct the Board meeting according to Robert's Rules of Order.
