ARTICLE III Officers

Section 1. Officers The Officers of ADCMW and a brief description of their qualifications (if any) and responsibilities are as follows:

A. President. Qualifications: The President shall be (l) an Art Director and (2) limited to two consecutive terms of office. and (3) have served as an officer or board member for at least one year prior to election. Responsibilities: Presides over Board meetings and votes in the event of a tie; appoints committee chairs; submits proposed ADCMW budget for the fiscal year to the Board; ex-officio member of all committees; and presides over the day-to-day activities of ADCMW.
B. Vice-President-Programs Manager. Responsibilities: Chair of Programs Committee; develops programs for ADCMW membership; proposes annual budget for programs; organizes and coordinates with Programs Committee members regularly scheduled programs.
C. Vice President-Editor. Responsibilities: Chair of Publications (FullBleed) Committee; proposes annual budget for FullBleed; editor and publisher of FullBleed; supervises editorial and advertising staff.
D. Vice President-Annual Show. Responsibilities: Chair of Annual Show Committee; organizes and coordinates with Annual Show Committee members announcements, judges, location and dinner for Annual Show.
E. Treasurer. Responsibilities: Chair of Finance Committee; assist President in developing balanced budget for fiscal year; advises the President of Budgetary status; monitors the finances of ADCMW, including disbursements and income, and reports to the Board on a timely basis; provides a report at the annual meeting of the membership of ADCMW financial position and results of operations.
F. Secretary. Responsibilities: Maintains a record of all business transacted at all meetings of ADCMW and of the Board of Directors; supervises mailing of notices to members and maintains a current list of names and addresses of members.
Section 2. Term of Office; Vacancies Officers shall be elected to one-year terms that expire at the end of the fiscal year. If a vacancy occurs among any Officer (except President), the President shall appoint a member to complete the unexpired term. If a vacancy occurs in the office of President, the Vice President-Programs Manager shall be President (Acting) until the Board appoints a successor. Any one or more of the Board of Directors members may be removed, either with or without cause, at any time, by a vote of two thirds of the Board of Directors. In the event of such removal, the Board of Directors shall proceed to fill the vacancy in the manner described in Article III, Section 2, Paragraph 1.
